TERMS AND CONDITIONS

Last updated: 23 October 2026

PLEASE READ THESE TERMS CAREFULLY BEFORE APPLYING TO JOIN THE SKINDOSED CREATOR PROGRAMME. BY CREATING AN ACCOUNT, TICKING THE ACCEPTANCE BOX ON THE APPLICATION FORM OR PARTICIPATING IN THE PROGRAMME, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT APPLY TO OR PARTICIPATE IN THE PROGRAMME.

1. ABOUT US

1.1 The SkinDosed Creator Programme (the “Programme”) is operated by the owner of the SkinDosed brand and the Store (“SkinDosed”, “we”, “us” or “our”). Our full legal name and address are available on request by email.

1.2 You can contact us at affiliates@getskindosed.com.

1.3 The Programme is administered using a third-party affiliate platform, currently GoAffPro (the “Platform”). The Platform is a service provider to us and is not a party to these Terms. Your agreement in relation to the Programme is with SkinDosed only.

2. DEFINITIONS AND INTERPRETATION

2.1 In these Terms, the following definitions apply:

“Account” means the account you create on the Platform to participate in the Programme.

“Advertising Rules” means all laws, regulations, codes and guidance that apply to advertising and marketing communications in the United Kingdom, including the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (the “CAP Code”), guidance issued by the Advertising Standards Authority (the “ASA”) and the Competition and Markets Authority (the “CMA”), the Digital Markets, Competition and Consumers Act 2024, the Consumer Protection from Unfair Trading Regulations 2008 (to the extent still in force) and the rules and community guidelines of each Social Platform on which you publish Content.

“Approval Date” means the date on which we notify you that your application to join the Programme has been accepted.

“Commission” means the fee payable to you in respect of Qualifying Sales in accordance with clause 7.

“Content” means any photographs, images, videos, reels, stories, livestreams, audio, captions, text, reviews, testimonials, comments and other material, in any format, that you create, publish or provide to us which features, mentions, depicts or relates to SkinDosed or the Products, together with any edits, compilations and derivatives of that material.

“Creator Kit” means the SkinDosed Creator Starter Kit made available to approved Founding Creators under clause 4.

“Data Protection Laws” means the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications (EC Directive) Regulations 2003 and any other applicable law relating to the processing of personal data.

“Founding Creator” means a Creator whose application is accepted before the Launch Date and who is designated by us as a Founding Creator.

“Launch Date” means 1 December 2026, or such other date as we notify to you in writing.

“Net Sale Value” means the price actually paid by the customer for Products in a Qualifying Sale, excluding VAT and other sales taxes, delivery and shipping charges, gift-wrapping, gift cards, and after deduction of all discounts, coupons, promotional reductions, credits, refunds and chargebacks.

“Products” means the products sold by SkinDosed through the Store from time to time, excluding the Creator Kit and any products we notify you are excluded from the Programme.

“Referral Code” means the unique discount or referral code allocated to you through the Platform.

“Referral Link” means the unique tracked link allocated to you through the Platform.

“Store” means the SkinDosed online store at skindosed.com and any other online store operated by SkinDosed.

“Terms” means these terms and conditions, as updated from time to time in accordance with clause 19.

“You” or “Creator” means the individual who applies to and participates in the Programme.

2.2 Headings do not affect the interpretation of these Terms. Words such as “including” and “for example” do not limit the generality of the words before them. A reference to writing includes email.

3. ELIGIBILITY, APPLICATION AND ACCEPTANCE

3.1 To apply to join the Programme you must:

  1. be at least 18 years old;

  2. be resident in the United Kingdom;

  3. operate at least one genuine, active public account on a Social Platform; and

  4. provide complete, accurate and up-to-date information in your application and keep it up to date.

3.2 Submitting an application does not guarantee acceptance. We may accept or reject any application at our sole discretion and without giving reasons.

3.3 A binding agreement between you and us on these Terms comes into existence on the Approval Date.

3.4 Your Account is personal to you. You must not share your Account, Referral Link or Referral Code with any other person to use as their own, or operate more than one Account.

4. FOUNDING CREATORS AND CREATOR KIT

4.1 SkinDosed is in a pre-launch phase. The Store will open for general sale on the Launch Date.

4.2 Founding Creators may purchase one (1) Creator Kit at the discounted price of £10.00 including VAT, with free standard delivery to a UK address, using the personal kit offer we make available after the Approval Date.

4.3 Creator Kits are strictly limited in number and are offered on a first-come, first-served basis while stocks last. We do not guarantee that a Creator Kit will be available to every Founding Creator.

4.4 The Creator Kit is provided for your personal use and for the purpose of creating Content. You must not resell, auction or otherwise commercially dispose of the Creator Kit or its contents.

4.5 Your purchase of the Creator Kit is a consumer purchase governed by the Store’s terms of sale. Nothing in these Terms affects your statutory rights as a consumer.

4.6 You must use the Products only in accordance with their labelling and instructions for use, and you should carry out any patch test recommended in those instructions before first use. If you experience any adverse reaction, you must stop using the Product and tell us promptly.

5. PRE-LAUNCH CONTENT AND POSTING RESTRICTIONS

5.1 We encourage you to use the Creator Kit and create Content before the Launch Date so that it is ready to publish from the Launch Date.

5.2 You must not, before the Launch Date:

  1. publish any Content, or any other post, story or comment, that mentions, depicts or refers to SkinDosed or the Products; or

  2. share, publish or distribute your Referral Link or Referral Code,

unless we have given our prior written consent.

5.3 From the Launch Date you may publish Content and share your Referral Link and Referral Code in accordance with these Terms.

5.4 If we move the Launch Date, we will tell you by email and the restrictions in clause 5.2 will apply until the new Launch Date.

6. REFERRAL LINKS AND CODES

6.1 After the Approval Date we will make a Referral Link and Referral Code available to you through the Platform. We may change the format of, replace or deactivate any Referral Link or Referral Code at any time.

6.2 Sales are attributed to you only where they are correctly tracked by the Platform through your Referral Link or Referral Code. Tracking depends on technologies such as cookies and may be affected by customer browser settings, cookie choices, ad blockers, device changes and other factors outside our control. We are not responsible for any sale that is not tracked or is attributed to another creator, and the Platform’s records will be conclusive in the absence of manifest error.

6.3 Where more than one creator could be credited for the same sale, the sale will be credited in accordance with the Platform’s attribution rules as configured by us.

7. COMMISSION

7.1 Subject to these Terms, we will pay you Commission on each Qualifying Sale at the following rate:

  1. Founding Creators: twenty per cent (20%) of the Net Sale Value; and

  2. all other Creators (the “standard rate”): fifteen per cent (15%) of the Net Sale Value, or such other rate as is shown in your Account at the time of the Qualifying Sale.

7.2 A “Qualifying Sale” is a sale of Products made through the Store on or after the Launch Date which:

  1. is correctly attributed to your Referral Link or Referral Code by the Platform;

  2. has been paid for in full and dispatched to the customer; and

  3. has not been cancelled, returned, refunded or charged back, and is no longer capable of being cancelled or returned for a refund under the Store’s returns policy or applicable law.

7.3 The following are not Qualifying Sales and no Commission is payable on them:

  1. purchases made by you, or by any person at your direction or on your behalf, including purchases for your own use or for your friends, family or household;

  2. your purchase of the Creator Kit;

  3. sales generated through any activity prohibited by clause 9;

  4. sales generated through any coupon, voucher, discount-aggregator, cashback, rewards or loyalty website, app or browser extension;

  5. sales generated through paid search advertising that bids on, or uses, any SkinDosed Mark or any variation or misspelling of it; and

  6. sales that we reasonably believe to be fraudulent or not made in good faith.

7.4 Founding Creators will keep the Commission rate in clause 7.1(a) for as long as they remain continuously in the Programme and continue to meet the Activity Requirement in clause 7.7. We may change the Commission rate payable to other Creators in respect of future sales by giving at least fourteen (14) days’ notice by email or through the Platform.

7.5 If Commission has been paid on a sale that is later cancelled, refunded, returned or charged back, or that is otherwise found not to have been a Qualifying Sale, we may deduct the relevant amount from any future Commission or require you to repay it within fourteen (14) days of our request.

7.6 Any additional rewards, tiers, bonuses, gifts or other incentives that we may offer from time to time are discretionary, are subject to any specific terms we publish for them, and may be changed or withdrawn at any time.

7.7 Activity Requirement. To keep Founding Creator status and the Commission rate in clause 7.1(a), you must:

  1. publish at least one (1) piece of Content that features the Products, is disclosed in accordance with clause 9.1 and includes or refers to your Referral Link or Referral Code, within thirty (30) days after the Launch Date; and

  2. after that, publish at least one (1) further piece of such Content in every period of sixty (60) consecutive days,

(together, the “Activity Requirement”).

7.8 If you do not meet the Activity Requirement, we may give you notice by email. If you do not publish qualifying Content within fourteen (14) days of that notice, we may remove your Founding Creator status, after which Commission on future sales will be paid at the standard rate in clause 7.1(b). Commission already earned will not be affected.

7.9 If no Qualifying Sale has been attributed to you, and you have not published any Content featuring the Products, for a continuous period of six (6) months after the Launch Date, we may treat your Account as inactive and end your participation in the Programme under clause 18.3.

7.10 Referral Code misuse. If your Referral Code appears on any coupon, voucher, discount-aggregator or cashback website, app or browser extension, or is otherwise being used in a way that breaches these Terms, we may deactivate or replace it immediately, whether or not you placed it there. Sales made using a Referral Code obtained from such a source are not Qualifying Sales.

7.11 Audit and investigation. We may review any sale, click or Account activity that we reasonably suspect to be fraudulent, artificial or in breach of these Terms, and may withhold the related Commission while we investigate. If we confirm a breach, the related Commission will be forfeited.

8. PAYMENT

8.1 Commission is calculated monthly. Commission earned on Qualifying Sales in a calendar month will be paid approximately thirty (30) days after the end of that month, provided that your unpaid Commission balance is at least £20.00. Balances below £20.00 will roll over to the following month.

8.2 Commission is paid in pounds sterling (GBP) using the payment method available through the Platform and selected by you in your Account. You are responsible for providing accurate payment details. We are not liable for any delay or loss caused by inaccurate payment details or by the payment provider.

8.3 Commission is inclusive of any VAT that may be payable. If you are registered for VAT you must tell us and provide a valid VAT invoice before payment.

8.4 You are solely responsible for declaring and paying any income tax, National Insurance contributions and other taxes, duties and levies arising in respect of any Commission, discounts, products or other benefits you receive under the Programme.

8.5 If you dispute any Commission calculation, you must notify us in writing within sixty (60) days of the relevant payment date (or the date on which the payment would have been due). After that period the calculation will be treated as final.

8.6 Set-off. We may deduct from any Commission payable to you any amount you owe to us under these Terms, including any overpaid Commission.

8.7 Unclaimed Commission. If we are unable to pay Commission to you because you have not provided valid payment details, we will remind you by email. If you have not provided valid payment details within twelve (12) months after the Commission first became payable, that Commission will be forfeited.

9. YOUR OBLIGATIONS AND PROMOTIONAL STANDARDS

9.1 Disclosure. You must comply with all Advertising Rules. In particular, you must clearly and prominently identify every piece of Content that promotes SkinDosed or the Products as advertising, for example by using the label “#ad” or “Ad” at the beginning of the caption or in a clearly visible on-screen label, and by using any paid-partnership or branded-content tools offered by the relevant Social Platform. Discounts, free or discounted products and Commission all make your Content advertising for this purpose. Disclosure is your responsibility.

9.2 Claims. All statements you make about the Products must be honest, reflect your genuine personal experience and opinion, and be capable of being substantiated. You must not:

  1. make any medical, therapeutic or health claim, including any claim that a Product prevents, treats, cures or relieves any disease, condition or injury;

  2. claim or imply results that you have not personally experienced, or that are exaggerated or misleading;

  3. use filters, editing or other techniques on images or video of the skin that exaggerate the effect of a Product;

  4. make claims that are inconsistent with the Product labelling or with any product information or guidance that we provide to you; or

  5. disparage or make misleading comparisons with any competitor or its products; or

  6. publish “before and after” images or video unless they are genuine, unretouched, taken in comparable lighting, angle and conditions, accurately state the period of use, and show results you actually achieved using the Products in accordance with their instructions.

9.2A Honest opinions. Nothing in these Terms requires you to give a positive review or prevents you from sharing your honest opinion of the Products, including a negative one. If you have a negative experience, we would be grateful if you contacted us first so that we can help, but you are not required to do so.

9.2B Product demonstrations and safety. When demonstrating or showing use of the Products, you must follow the Product instructions and warnings. You must not show or encourage use of the Products on broken, irritated or infected skin, on or near the eyes, in any way not described in the instructions, or by any person under the age of 18. You must not give individual medical or dermatological advice to your audience about the Products and should direct anyone with a skin condition or concern to seek professional advice.

9.2C Children in Content. No person under the age of 18 may be shown using the Products. If any person under 18 appears incidentally in your Content, you must have the consent of their parent or guardian to publish it, and we will not use any such Content in paid advertising without separate written consent.

9.2D Adverse reactions and complaints. If you, or any member of your audience, reports an adverse reaction to a Product, you must tell us by email within forty-eight (48) hours with as much detail as you have, so that we can meet our product safety obligations. You must not offer the affected person any remedy, refund or advice on our behalf.

9.3 Conduct. You must not, in connection with the Programme:

  1. send unsolicited marketing communications (spam) by email, direct message, SMS or otherwise;

  2. use fake, bot or purchased followers, likes, views, comments or engagement;

  3. create or post fake reviews, or post reviews of the Products that do not reflect a genuine experience;

  4. impersonate SkinDosed or any other person, or create any account, page, domain or handle that includes a SkinDosed Mark or could be confused with an official SkinDosed channel;

  5. publish Content that is unlawful, defamatory, obscene, discriminatory, hateful, violent or otherwise offensive, or that infringes any third party’s rights;

  6. target or direct Content primarily at persons under the age of 18;

  7. use any automated software, scripts or other means to generate clicks, traffic or sales artificially;

  8. offer any cashback, rebate or other incentive to customers for using your Referral Link or Referral Code, other than the discount (if any) attached to your Referral Code by us;

  9. run any paid advertising (including boosted or promoted posts) that features SkinDosed, the Products, your Referral Link or your Referral Code, unless we have given prior written consent;

  10. register, bid on or use any SkinDosed Mark (or any variation or misspelling) in any domain name, paid search keyword or advertising campaign;

  11. collect or use the personal data of customers or prospective customers of SkinDosed other than through the normal operation of your Social Platform accounts;

  12. feature, mention or promote any competing microneedling, microinfusion or similar skincare device or product in the same piece of Content that promotes SkinDosed; or

  13. do anything that brings, or is likely to bring, SkinDosed, the Products or the Programme into disrepute.

9.4 Platform rules. You must comply with the terms of use and community guidelines of each Social Platform on which you publish Content.

9.5 Removal and correction. If we ask you to amend or remove any Content that we reasonably consider breaches these Terms or the Advertising Rules, or that is inaccurate, you must do so within forty-eight (48) hours of our request.

9.6 Information. You must promptly provide any information we reasonably request to verify your compliance with these Terms, including links to published Content and screenshots of disclosure labels.

9.7 Content review. We may ask to see your Content before it is published. If we do, you will share a draft with us and make any changes we reasonably request to correct factual inaccuracies or to comply with these Terms, the Product instructions or the Advertising Rules. Our review does not make us responsible for your Content and does not reduce your obligations under clause 9.1.

9.8 Keeping Content live. You must keep each piece of Content that promotes SkinDosed published on your Social Platform for at least ninety (90) days after publication, unless we ask you to remove it or the Social Platform removes it.

9.9 Original files and ad access. Within seven (7) days of our request you will:

  1. send us the original, full-resolution, unwatermarked files of any Content (including raw footage, where available); and

  2. where we wish to run your Content as an advert from or alongside your account, provide the relevant authorisation through the Social Platform’s tools (for example a TikTok Spark Ads authorisation code or Meta partnership ads permission) for a period of at least twelve (12) months.

9.10 Audience quality. We may review your Social Platform accounts and audience data at any time. If we reasonably believe that your audience, followers or engagement are materially fake, purchased or artificially inflated, we may treat this as a material breach of these Terms.

9.11 Reputation and conduct outside the Programme. We may end your participation under clause 18.4 if you are, or become, the subject of public allegations, controversy or conduct (whether or not related to SkinDosed, and including past conduct that becomes public) that in our reasonable opinion is likely to damage the reputation of SkinDosed or the Products if we continue to be associated with you. In that case we may also stop using your Content in new materials, but you will remain entitled to Commission already earned on Qualifying Sales unless clause 18.4(a) or (b) also applies.

10. CONTENT LICENCE

10.1 Ownership. As between you and us, you retain ownership of the copyright and other intellectual property rights in your Content.

10.2 Licence. In consideration of your participation in the Programme, you grant SkinDosed a worldwide, non-exclusive, royalty-free, fully paid-up, perpetual and irrevocable licence, with the right to grant sub-licences as described in clause 10.3, to use, reproduce, copy, store, edit, adapt, crop, resize, translate, subtitle, caption, combine with other material, publish, display, distribute, communicate to the public and otherwise exploit your Content, in whole or in part, in any and all media and formats now known or developed in the future, for the purposes of advertising, marketing, promoting and selling SkinDosed and the Products. This includes use:

  1. on the Store and any other website operated by SkinDosed, including product pages;

  2. on SkinDosed’s own social media accounts, including by reposting, resharing, stitching, duetting or remixing;

  3. in email, SMS and other direct marketing;

  4. in paid advertising on any platform, including Meta (Facebook and Instagram), TikTok, Google, YouTube, Pinterest and Snapchat, including by running your Content as an advert from SkinDosed’s account or, where you authorise it through the relevant Social Platform’s tools, from your account;

  5. in printed materials, packaging, presentations, investor and retail-partner materials, and at events; and

  6. in internal training and reporting.

10.3 Sub-licensing. We may sub-license the rights in clause 10.2 to our agencies, contractors, advertising platforms, distributors and retail partners, and to any successor to our business, solely for the purposes described in clause 10.2.

10.4 Name and likeness. You grant us the right to use your name, social media handle, image, likeness and voice as they appear in, or in connection with, your Content for the purposes described in clause 10.2, including to credit you as the creator of the Content. We will try to credit you where it is reasonably practicable to do so, but we are not obliged to.

10.5 Integrity. We will not edit your Content in a way that materially changes the meaning of what you said or misrepresents your opinion of the Products.

10.6 Moral rights. To the extent permitted by law, you irrevocably and unconditionally waive, and agree not to assert, any moral rights you have in your Content under Chapter IV of the Copyright, Designs and Patents Act 1988 or any similar law in any jurisdiction, in respect of uses permitted by these Terms.

10.7 Duration. The licence in this clause 10 continues after your participation in the Programme ends for any reason. We will not be required to remove or stop using any Content that we have published or used, or that we have scheduled or committed to use, before your participation ended.

10.8 No additional payment. You will not be entitled to any fee, royalty or other payment for our use of your Content beyond the Commission and other benefits expressly provided for in these Terms, unless we agree otherwise with you in a separate written agreement.

10.9 Third-party rights. You must ensure that your Content does not include any music, images, footage, trade marks or other material owned by a third party unless you have obtained all rights needed for us to use it as permitted by this clause 10, and that every identifiable person who appears in your Content has given their consent to its use as permitted by this clause 10. Where it is not possible to obtain such rights (for example for music licensed only for use within a Social Platform), we may remove or replace the relevant element before using your Content.

10.10 Further assurance. At our request you will sign any document and do anything reasonably necessary to confirm the rights granted in this clause 10.

11. OUR BRAND

11.1 We grant you a limited, non-exclusive, non-transferable, revocable licence during your participation in the Programme to use the SkinDosed Marks and any images or other materials we make available to you through the Platform, solely for the purpose of promoting the Products in accordance with these Terms and any brand guidelines we provide.

11.2 You must not alter the SkinDosed Marks, register or attempt to register any SkinDosed Mark (or anything confusingly similar) as a trade mark, domain name, username or handle, or use the SkinDosed Marks in any way that suggests that you are SkinDosed or that we endorse anything other than your participation in the Programme.

11.3 All rights in the SkinDosed Marks and in the materials we provide to you remain with us. The licence in this clause 11 ends automatically when your participation in the Programme ends.

12. CONFIDENTIALITY

12.1 You must keep confidential, and not disclose to any third party, any non-public information that we share with you in connection with the Programme, including information about unreleased products, launch dates (until publicly announced), pricing, commercial terms, sales data and business plans (“Confidential Information”).

12.2 Clause 12.1 does not apply to information that is or becomes public other than through your breach of these Terms, or that you are required to disclose by law.

13. DATA PROTECTION

13.1 We will process the personal data you provide to us in connection with the Programme (including your name, contact details, social media handles, payment details and performance data) in accordance with Data Protection Laws and our privacy notice, for the purposes of administering the Programme, paying Commission, communicating with you and exercising our rights under these Terms.

13.2 We share your personal data with the Platform and our payment and technology providers as necessary to operate the Programme.

13.3 You must comply with Data Protection Laws in relation to any personal data you process in connection with the Programme, including when sending any marketing communications.

14. RELATIONSHIP BETWEEN US

14.1 You are an independent contractor. Nothing in these Terms creates any employment, worker, partnership, joint venture, agency or franchise relationship between you and us.

14.2 You have no authority to make any statement, representation, commitment or contract on our behalf.

14.3 Participation in the Programme is non-exclusive. You may promote other brands, provided that you comply with these Terms and that you do not publish Content promoting SkinDosed that disparages a competitor.

14.4 We do not guarantee that you will earn any particular amount of Commission, or any Commission at all.

15. YOUR WARRANTIES

15.1 You warrant and represent that:

  1. you are at least 18 years old and resident in the United Kingdom;

  2. all information you have provided to us is complete, accurate and up to date;

  3. you have full power and authority to enter into these Terms and to grant the rights granted in clause 10;

  4. your Content is your own original work and its use by us as permitted by these Terms will not infringe the intellectual property, privacy, publicity or other rights of any person; and

  5. you are not party to any agreement (including any exclusivity agreement with a competing brand or any agreement with a talent agency) that prevents you from complying with these Terms.

16. INDEMNITY

16.1 You will indemnify us against all losses, liabilities, damages, costs (including reasonable legal fees), fines and expenses that we suffer or incur arising out of or in connection with:

  1. any breach by you of clause 9 (Your Obligations and Promotional Standards), clause 10.9 (Third-party rights) or clause 15 (Your Warranties); or

  2. any claim by a third party that your Content infringes its rights.

17. LIMITATION OF LIABILITY

17.1 Nothing in these Terms limits or excludes any liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or your statutory rights as a consumer in relation to any Products you buy.

17.2 Subject to clause 17.1, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profits, loss of income or revenue, loss of opportunity, loss of goodwill or reputation, or any indirect or consequential loss, arising under or in connection with these Terms or the Programme.

17.3 Subject to clause 17.1, our total liability to you arising under or in connection with these Terms or the Programme will not exceed the total Commission paid or payable to you in the twelve (12) months immediately before the event giving rise to the claim.

17.4 We do not guarantee that the Store, the Platform, any Referral Link or Referral Code, or any tracking system will be available, uninterrupted or error-free.

18. TERM, SUSPENSION AND TERMINATION

18.1 These Terms apply from the Approval Date until your participation in the Programme ends.

18.2 You may leave the Programme at any time by emailing affiliates@getskindosed.com or by closing your Account.

18.3 We may end your participation in the Programme, or suspend your Account, Referral Link or Referral Code, at any time and for any reason by giving you notice by email or through the Platform. Where we end your participation without cause, we will pay you any Commission earned on Qualifying Sales made up to the date of termination, in accordance with clause 8.

18.4 We may end your participation in the Programme immediately by notice if:

  1. you materially breach these Terms, including clauses 5, 9 or 12;

  2. you engage in any fraudulent or dishonest activity, or we reasonably suspect you of doing so; or

  3. you do or say anything, or clause 9.11 applies to you, such that in our reasonable opinion continuing our association with you is likely to bring SkinDosed, the Products or the Programme into disrepute.

18.4A If we end your participation under clause 18.4(a) or 18.4(b), any unpaid Commission will be forfeited. If we end your participation under clause 18.4(c) only, we will pay Commission already earned on Qualifying Sales made before the termination date in accordance with clause 8.

18.5 When your participation ends for any reason:

  1. your Referral Link and Referral Code will be deactivated and you will not earn Commission on any sale made after the termination date;

  2. you must stop holding yourself out as a SkinDosed creator or partner and stop using the SkinDosed Marks;

  3. you are not required to delete Content you have already published on your own channels, but you must not publish new Content that suggests that you are still part of the Programme; and

  4. clauses 2, 7.5, 7.11, 8.4 to 8.7, 9.2D, 9.8, 9.9, 10, 12, 13, 15, 16, 17, 18.4A, 18.5, 20 and 21 will continue to apply.

19. CHANGES TO THESE TERMS AND TO THE PROGRAMME

19.1 We may change these Terms from time to time, for example to reflect changes in law, the Advertising Rules, the Platform or our business. We will tell you about material changes by email or through the Platform at least fourteen (14) days before they take effect, except where a change is required sooner by law.

19.2 If you do not agree to a change, you may leave the Programme before the change takes effect. If you continue to participate after the change takes effect, you will be treated as having accepted it.

19.3 No change will reduce the Commission rate of a Founding Creator under clause 7.1(a) while they remain continuously in the Programme and meet the Activity Requirement, or apply retrospectively to Commission already earned.

19.4 We may suspend, change or close the Programme at any time on reasonable notice. If we close the Programme, we will pay all Commission earned on Qualifying Sales made before the closure date.

20. NOTICES

20.1 We may give notices to you by email to the address associated with your Account or through the Platform. You must give notices to us by email to affiliates@getskindosed.com.

20.2 A notice given by email is treated as received at the time of sending, or, if sent outside 9:00am to 5:00pm on a business day in England, at 9:00am on the next business day.

21. GENERAL

21.1 Entire agreement. These Terms, together with any written commission or campaign terms that we publish in your Account or agree with you in writing, are the entire agreement between you and us in relation to the Programme and supersede any previous arrangement, understanding or agreement between us on that subject.

21.2 Assignment. You may not assign, transfer or sub-contract any of your rights or obligations under these Terms. We may assign or transfer our rights and obligations to any person who acquires all or part of our business, or to any company we incorporate to carry on our business, and you agree that the licence in clause 10 will transfer with them.

21.3 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the rest of these Terms will not be affected.

21.4 Waiver. A failure or delay by us in exercising any right or remedy will not be a waiver of that or any other right or remedy.

21.5 Third-party rights. No person other than you and us has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms, except that any successor to our business may enforce these Terms.

21.6 Force majeure. We will not be liable for any delay in or failure to perform our obligations caused by events outside our reasonable control, including delays in manufacturing or delivery of stock, failures of the Platform or third-party service providers, strikes, epidemics, or acts of government.

21.7 Governing law and jurisdiction. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Programme, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
